Mr. Denowitz has practiced corporate, commercial and transactional law since 1982. Although most of his career has been spent as outside counsel at two prominent New York City law firms, Mr. Denowitz has in-house experience as well, having previously served as the on-site, acting General Counsel of one of his major clients, a major hedge fund, for the better part of a year. Mr. Denowitz's clients have ranged in size from individuals and small, closely-held start-up companies to large, multinational corporations and financial institutions. His diversified experience spans a wide range of industries and business endeavors and includes the creation and organization of corporations and other business entities, acquisitions and dispositions of businesses and business interests, licensing and sale of patents, trademarks and other intellectual property, negotiation of joint ventures and partnerships, negotiation and drafting of shareholder and limited liability company agreements, employment, consulting and severance agreements, distribution and agency arrangements, debt and equity financings, and biotechnology, pharmaceutical and joint development arrangements. From 1982 until 1985, Mr. Denowitz practiced with a the law firm of Olwine, Connelly, Chase, O'Donnell & Weyher, a spin-off of Cravath, Swaine & Moore LLP. From 1985 until 2009, he practiced with the national law firm of Epstein Becker & Green, P.C., having become a Partner there in 1990. Mr. Denowitz holds a J.D. from NYU Law School, where he served as Editor of the Moot Court Board, and obtained Bachelor's and Master's degrees in Economics from the University of Maryland at College Park, where he was elected to Phi Beta Kappa and graduated summa cum laude. An active member of the Association of the Bar of the City of New York (where he serves on the Legal Referral Service) and The Princeton Club of New York, Mr. Denowitz is an avid runner and health and exercise enthusiast, and a longtime numismatist. A father of three, he and his family reside in Westport, Connecticut. |
